This Agreement sets forth the terms and conditions for participation in the ReDaxin-Recovery Affiliate Program ("the Program") between Ceresor, LLC ("Company," "We," or "ReDaxin-Recovery") and the applying Affiliate ("Affiliate" or "You"). By submitting an application to the Program, you expressly agree to be bound by the terms and conditions outlined below.
1. DEFINITIONSCompany: Ceresor, LLC
Product: The ReDaxin-Recovery supplement and all related Company merchandise.
Customer: The end-user who purchases a Product via an Affiliate's valid Promotion Method.
Promotion Method: The approved and tracked methods used to attribute a sale to an Affiliate, including Unique Coupon Codes and Approved Customer Email Attribution.
Net Revenue: The amount received by the Company from a Qualifying Sale, excluding discounts, shipping, taxes, and customer returns/refunds.
Qualifying Sale: A successfully completed, non-refunded purchase of a Product attributed to an Affiliate via a valid Promotion Method.
2.1. Eligibility: To participate in the Program, you must be 18 years of age or older and operate a website, social media channel, or business whose content and ethics align with the ReDaxin-Recovery brand.
2.2. Application: Acceptance into the Program is at the Company's sole discretion. The Company reserves the right to reject any application for any reason, including content deemed offensive, spam-related, or contradictory to the ReDaxin-Recovery brand message.
2.3. Independent Contractor Status: You acknowledge that you are an independent contractor. This Agreement does not create any partnership, joint venture, employment, or agency relationship between you and the Company.
3. COMMISSION STRUCTURE AND PAYMENT3.1. Commission Rate: The Affiliate shall earn a commission equal to 10% of the Net Revenue generated from a Qualifying Sale.
3.2. Promotion Methods: Attribution is granted exclusively via the following approved Promotion Methods:
Unique Coupon Code: A custom code assigned to and used solely by the Affiliate.
Approved Customer Email: An email address submitted by the Affiliate and approved by the Company prior to the purchase.
3.3. Tracking Priority: In the event a sale is attributed to multiple methods (e.g., two different Promotion Methods), the Company reserves the right to set the final attribution priority.
3.4. Validation and Payout:
Commissions are based only on Qualifying Sales. Sales subject to refund, chargeback, or cancellation will be reversed or deducted from the Affiliate's earnings.
The Company will validate commissions monthly after the expiration of the 30-day refund period.
Payments will be made monthly, on the 15th, or next business day if the 15th is a weekend or holiday, via PayPal, provided the Affiliate's earned commission exceeds the minimum payout threshold of $50.00 USD.
3.5. Excluded Coupons: The Company reserves the right to exclude specific site-wide or customer service coupon codes from commission eligibility via the Refersion Coupon Exclusions feature.
4. COMPLIANCE AND ETHICS (FTC & HEALTH CLAIMS)4.1. FTC Disclosure Mandate: You MUST comply with all Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials. This requires:
Clear and Conspicuous Disclosure: You must clearly and conspicuously disclose your material connection to ReDaxin-Recovery (i.e., that you are compensated for sales) on all promotional content, social media posts, and websites where Promotion Methods are used.
Acceptable Disclosure Examples: Use hashtags like #ad, #sponsored, or clear text like "I earn a commission from sales using this code/link." The disclosure must be easy to find and read.
4.2. Accuracy of Claims (Health Claims): Given the nature of supplements, you are strictly prohibited from making any false, misleading, or unsubstantiated claims about the Product. Specifically, you must not claim that ReDaxin-Recovery: * Can cure, treat, or prevent any disease. * Provides results not supported by the Company’s official, clinically supported marketing language. * Has immediate, guaranteed results for all users (e.g., "lose 10 lbs overnight").
4.3. Prohibited Marketing Activities: The Affiliate shall not engage in any of the following activities:
Bidding on Company-branded keywords or confusing variations thereof in Paid Search (PPC) campaigns (e.g., "ReDaxin-Recovery," "ReDaxin-Recovery coupon").
Promoting the Product using spam, unsolicited bulk email (UBE), or unsolicited text messages.
Using any form of misleading link cloaking or confusing redirection.
Posting the Promotion Methods on coupon-only websites or similar discount aggregators unless expressly permitted by the Company.
5.1. License: The Company grants the Affiliate a non-exclusive, non-transferable, revocable license to use the ReDaxin-Recovery name, logos, and approved product images (the "Creative Assets") solely for the purpose of promoting the Product within the scope of this Agreement.
5.2. Ownership: All Creative Assets, trademarks, and intellectual property rights related to ReDaxin-Recovery remain the sole property of the Company. You may not alter or modify any Creative Assets without prior written approval.
5.3. Content Rights: Any content you create using the Creative Assets for the purpose of promoting ReDaxin-Recovery may be shared and repurposed by the Company for promotional purposes.
6. TERM AND TERMINATION6.1. Term: This Agreement will begin upon our acceptance of your Program application and will continue until terminated.
6.2. Termination: Either party may terminate this Agreement at any time, with or without cause, by providing the other party seven (7) days written notice.
6.3. Termination for Cause: The Company may terminate this Agreement immediately if the Affiliate breaches any term of this Agreement, particularly those related to FTC compliance, making false claims, or prohibited marketing activities (Section 4).
6.4. Effect of Termination: Upon termination, the Affiliate must immediately cease using all Creative Assets. Commissions earned on Qualifying Sales prior to the termination date will be paid out during the next scheduled payment cycle, provided the sales are not subject to refund or fraud.
7. INDEMNIFICATIONThe Affiliate agrees to indemnify, defend, and hold harmless the Company from and against any and all claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising from or related to: (a) the Affiliate’s website or promotional content; (b) any breach of the Affiliate’s representations, warranties, or covenants under this Agreement; or (c) the Affiliate’s failure to comply with the FTC Endorsement Guides or any other applicable law or regulation.
8. GOVERNING LAWThis Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles.
9. CONFIDENTIALITYThe Affiliate agrees not to disclose or use any non-public business, financial, customer, or operational information obtained through the Program, except as required to perform under this Agreement or as required by law.
10. LIMITATION OF LIABILITYTo the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages. The Company's total liability under this Agreement shall not exceed the total commissions paid to the Affiliate in the preceding 12-month period.
11. DISCLAIMER OF WARRANTIESThe Program and Creative Assets are provided “as is.” The Company disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
12. SEVERABILITYIf any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
13. ENTIRE AGREEMENT; AMENDMENTSThis Agreement constitutes the entire understanding between the parties and supersedes all prior communications. The Company may amend this Agreement by providing written notice or posting revised terms, and continued participation constitutes acceptance.
14. ASSIGNMENTThe Affiliate may not assign or transfer this Agreement without written consent. The Company may assign this Agreement without restriction.

This Privacy Policy describes how Ceresor, LLC (referred to as "Redaxin-Recovery," "We," "Us," or "Our") collects, uses, and discloses your Personal Information when you visit or make a purchase from our website at Redaxin.com (the "Site"), or interact with our affiliate program.
1. AFFILIATE PROGRAM DATA COLLECTIONWhen an individual applies to or participates in the Redaxin Affiliate Program (managed through Refersion), we collect the following personal information:
Identity & Contact Data: Legal name, email address, physical address, and phone number.
Financial & Payout Data: PayPal email address, bank account information, or other payment service details.
Tax Information: Tax ID (e.g., SSN, EIN) and completed tax forms (W-9/W-8).

When an Affiliate refers a Customer who makes a purchase, we collect limited order information via our e-commerce platform (Squarespace) and affiliate tracking software (Refersion):
Order Data: Product(s) purchased, purchase date, and final sale value.
Affiliate Attribution Data: The specific Unique Coupon Code used or the Customer Email Address (if submitted and approved as an attribution method).
We and our partners (including Refersion and Squarespace) use cookies, pixels, and similar tracking technologies to monitor referrals, analyze performance, and improve services. You can manage cookie preferences through your browser settings, though some features may not function properly if disabled.
4. USE OF PERSONAL INFORMATIONWe use the Personal Information we collect for several primary business purposes:
To Provide Products and Services: To process your orders, arrange for shipping, provide invoices, and communicate with you about your purchase.
Affiliate Program Management: To run the affiliate program, including screening applicants, tracking performance, calculating and issuing commissions, and complying with tax laws.
Compliance and Legal: To comply with all applicable laws and regulations, respond to legal requests, protect our rights (e.g., enforcing our Terms & Conditions), and monitor for fraudulent activity.
We share data only as necessary for operations:
Service Providers: We share necessary data with third parties to perform services on our behalf. This includes Refersion (Affiliate Management) for tracking commissions, Squarespace for order processing, and payment processors (e.g., PayPal, Stripe) for payment and payout fulfillment.

By participating in the ReDaxin-Recovery Affiliate Program, you acknowledge and agree to the following regarding customer data privacy:
Customer Email Attribution: If you submit a customer's email address as a Promotion Method, you confirm that you have a legal basis or proper consent to provide that email address to us for the purpose of tracking the resulting sale.
FTC Compliance: Affiliates are responsible for providing clear and conspicuous disclosure that they are compensated for promoting ReDaxin-Recovery products, as required by the U.S. Federal Trade Commission (FTC) guidelines. ReDaxin-Recovery is not responsible for an Affiliate’s failure to comply.
We retain affiliate and customer data only as long as necessary to fulfill the purposes described here, including tax and accounting obligations. After that, data is securely deleted or anonymized.
8. DATA SECURITYWe use reasonable administrative, technical, and physical safeguards to protect personal information from unauthorized access or misuse. However, no system is completely secure, and we cannot guarantee absolute protection.
9. Children’s PrivacyOur Site and Affiliate Program are not intended for individuals under 18 years of age. We do not knowingly collect information from minors. If such data is discovered, we will promptly delete it.
10. YOUR RIGHTS (GDPR/CCPA)Depending on your location, you may have the right to access the personal information we hold about you, to port it to a new service, and to ask that your personal information be corrected, updated, or erased.
